What this R64 million suretyship saga teaches us about trust, tech, and the truth.<\/p>\n<p class=\"\" data-start=\"254\" data-end=\"379\">Every business relationship is built on two things: trust and documentation. When one fails, the other better be bulletproof.<\/p>\n<p class=\"\" data-start=\"381\" data-end=\"521\">In <em data-start=\"384\" data-end=\"424\">FirstRand Bank Limited v Ayob and Gani<\/em>, we witness the collision of loyalty, legacy, and law\u2014and the R64 million fallout that followed.<\/p>\n<h2 data-start=\"523\" data-end=\"540\">The setup<\/h2>\n<p class=\"\" data-start=\"542\" data-end=\"822\">Hanmar Beleggings, once known as Rashida Manufacturing, was extended multiple credit facilities by FirstRand Bank totalling over R50 million. To secure those loans, directors Nizamu Ayob and Shanna Gani signed <strong data-start=\"752\" data-end=\"777\">unlimited suretyships<\/strong>, binding them personally for Hanmar\u2019s debts.<\/p>\n<p class=\"\" data-start=\"824\" data-end=\"867\">At least, that\u2019s what the documents showed.<\/p>\n<p class=\"\" data-start=\"869\" data-end=\"1019\">When Hanmar defaulted, FirstRand called in the sureties. But rather than settle, Ayob and Gani pivoted: <strong>They claimed the signatures weren\u2019t valid.<\/strong><\/p>\n<p class=\"\" data-start=\"1021\" data-end=\"1038\">Cue: legal chaos.<\/p>\n<h2 data-start=\"1040\" data-end=\"1061\">The challenge<\/h2>\n<p class=\"\" data-start=\"1063\" data-end=\"1140\">The respondents mounted a legal defence based on technicalities\u2014arguing that:<\/p>\n<ul>\n<li data-start=\"1144\" data-end=\"1252\">The suretyships were <strong data-start=\"1165\" data-end=\"1179\">electronic<\/strong> and didn\u2019t meet formal requirements under the General Law Amendment Act.<\/li>\n<li data-start=\"1255\" data-end=\"1286\">The signatures were <strong data-start=\"1275\" data-end=\"1285\">forged<\/strong>.<\/li>\n<li data-start=\"1289\" data-end=\"1351\">Even if they weren\u2019t, the original documents weren\u2019t produced.<\/li>\n<\/ul>\n<p class=\"\" data-start=\"1353\" data-end=\"1478\">It was an audacious move\u2014especially after both had previously acknowledged the debts in a <strong data-start=\"1443\" data-end=\"1477\">signed Memorandum of Agreement<\/strong>.<\/p>\n<p class=\"\" data-start=\"1480\" data-end=\"1524\">But here\u2019s where this case gets fascinating.<\/p>\n<h2 data-start=\"1526\" data-end=\"1551\">The turning point<\/h2>\n<p class=\"\" data-start=\"1553\" data-end=\"1611\">What the respondents forgot? <strong data-start=\"1582\" data-end=\"1611\">The meeting was recorded.<\/strong><\/p>\n<p class=\"\" data-start=\"1613\" data-end=\"1867\">Thanks to pandemic-era protocol, the 2021 signing took place virtually. The bank\u2019s representative, Sharon Crowie, <strong data-start=\"1727\" data-end=\"1771\">recorded the meeting via Microsoft Teams<\/strong>. That footage\u2014meticulously preserved, submitted, and confirmed\u2014showed both respondents clearly:<\/p>\n<ul>\n<li data-start=\"1871\" data-end=\"1895\">Reviewing the documents.<\/li>\n<li data-start=\"1898\" data-end=\"1920\">Signing in manuscript.<\/li>\n<li data-start=\"1923\" data-end=\"1946\">Initialling every page.<\/li>\n<li data-start=\"1949\" data-end=\"1992\">Sending the signed versions back via email.<\/li>\n<\/ul>\n<p class=\"\" data-start=\"1994\" data-end=\"2060\">The judge had one word for their subsequent denials: <em data-start=\"2047\" data-end=\"2059\">despicable<\/em>.<\/p>\n<h2 data-start=\"2062\" data-end=\"2080\">The lesson<\/h2>\n<p class=\"\" data-start=\"2082\" data-end=\"2270\">This wasn\u2019t just a victory for FirstRand.
