It\u2019s beginning to make commitments on your behalf. Enter AI agents: from procurement bots ordering supplies to customer-facing chatbots offering refunds, autonomous systems are stepping into the domain once reserved for negotiators, lawyers, and executives.<\/p>\n<p data-start=\"681\" data-end=\"909\">South Africa\u2019s <a href=\"https:\/\/www.gov.za\/sites\/default\/files\/gcis_document\/201409\/a25-02.pdf\">Electronic Communications and Transactions Act (ECTA)<\/a>, together with the common law of agency, already provides an answer: these AI-driven transactions are not hypothetical. They are legally binding.<\/p>\n<h2 data-start=\"916\" data-end=\"956\">AI agents under the law: the basics<\/h2>\n<p data-start=\"957\" data-end=\"1092\">ECTA defines an \u201celectronic agent\u201d as a programme that independently initiates or responds to data messages. Section 30 is unequivocal:<\/p>\n<ul>\n<li data-start=\"1096\" data-end=\"1146\">Contracts may be concluded by electronic agents.<\/li>\n<li data-start=\"1149\" data-end=\"1241\">A company deploying such an agent is presumed bound\u2014even if no human reviewed its actions.<\/li>\n<li data-start=\"1244\" data-end=\"1316\">Counterparties are not bound unless they had a chance to review terms.<\/li>\n<li data-start=\"1319\" data-end=\"1409\">Errors don\u2019t automatically void a contract; they must be flagged and corrected promptly.<\/li>\n<\/ul>\n<blockquote>\n<p data-start=\"1411\" data-end=\"1504\">Drafted in 2002 for simple scripts, this framework applies seamlessly to today\u2019s AI agents.<\/p>\n<\/blockquote>\n<h2 data-start=\"1511\" data-end=\"1560\">The deeper legal backdrop: agency principles<\/h2>\n<p data-start=\"1561\" data-end=\"1622\">At common law, if you appoint an agent, you carry the risk.<\/p>\n<ul>\n<li data-start=\"1625\" data-end=\"1707\"><strong data-start=\"1625\" data-end=\"1638\">Authority<\/strong>: Agents need authorisation, whether express, implied, or apparent.<\/li>\n<li data-start=\"1710\" data-end=\"1773\"><strong data-start=\"1710\" data-end=\"1728\">Representation<\/strong>: Acts within authority bind the principal.<\/li>\n<li data-start=\"1776\" data-end=\"1937\"><strong data-start=\"1776\" data-end=\"1803\">Ratification &amp; estoppel<\/strong>: Principals may be bound by unauthorised acts if they later ratify them, or if third parties reasonably rely on apparent authority.<\/li>\n<\/ul>\n<blockquote>\n<p data-start=\"1939\" data-end=\"2054\">Together with ECTA, the result is clear: deploying AI agents is functionally equivalent to appointing human ones.<\/p>\n<\/blockquote>\n<h2 data-start=\"2061\" data-end=\"2112\">The unpredicted consequences for organisations<\/h2>\n<ol>\n<li data-start=\"2117\" data-end=\"2369\"><strong data-start=\"2117\" data-end=\"2158\">Binding commitments without awareness<\/strong>: Systems can conclude multi-year contracts or extend warranties overnight\u2014without human sign-off. This is the evolutionary leap: laws written for early e-commerce now bind organisations in the age of AI.<\/li>\n<li data-start=\"2374\" data-end=\"2609\"><strong data-start=\"2374\" data-end=\"2406\">Shadow AI = shadow contracts<\/strong>: Employees plugging unauthorised tools into workflows can create obligations the board never approved.
