On 31 October 2025, the Institute of Directors in South Africa (IoDSA) launches the King V Code on Corporate Governance: the most significant governance development in nearly a decade.
This new Code refines South Africa’s global reputation for principled leadership and integrated reporting, introducing twelve streamlined principles, a stronger “apply-and-explain” disclosure model, and a bold integration of technology, ESG, and ethics at board level.

Developed by ITLawCo, King V: The Future of Corporate Governance in South Africa is a masterclass in translating the Code’s philosophy into practice. It positions King V within the broader global governance movement—from the OECD Principles and UK Corporate Governance Code to the EU’s ESG and AI frameworks—giving participants not just compliance fluency, but strategic literacy.

This isn’t a refresher. It’s a transformation of how boards, lawyers, and governance professionals think about legitimacy, sustainability, and accountability in the digital age.

What you’ll learn

By the end of this programme, participants will be able to:

  1. Interpret the 12 King V principles and connect them to the four governance outcomes: ethical culture, performance, conformance, and legitimacy.
  2. Conduct a King IV → King V transition analysis, identifying board and disclosure priorities.
  3. Apply the “apply-and-explain” model using IoDSA-aligned templates.
  4. Strengthen board composition, independence, and oversight in line with new tenure and cooling-off provisions.
  5. Embed technology, AI, and data governance into board and committee structures.
  6. Integrate ESG, impact materiality, and stakeholder inclusivity into strategy and reporting.
  7. Situate King V within the global governance lexicon, comparing it with leading international frameworks.
  8. Develop a 12-month roadmap to operationalise King V across the organisation.
